Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Vera AI website at verasolutions.io (the “Site”) and any services offered by VeraVentures LLC (“Vera AI,” “we,” “us,” “our”). By using the Site or our services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and authorized to enter into a binding agreement on behalf of yourself or the business you represent in order to use our services.

2. Our services

Vera AI provides AI-powered receptionist services for local businesses, including answering inbound calls, qualifying inquiries, scheduling appointments, and routing communications. Specific service terms, pricing, and SLAs are set out in your order form, subscription agreement, or other written agreement with us. In the event of a conflict between those documents and these Terms, the order-specific document controls.

3. Account registration

To use the customer portion of our services, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at Admin@verasolutions.io if you suspect unauthorized use.

4. Acceptable use

You agree not to:

Use our services to send unsolicited commercial messages, spam, or any communication that violates the TCPA, CAN-SPAM, CASL, or other applicable communication laws;
Attempt to disrupt, reverse-engineer, scrape, or gain unauthorized access to any part of our systems;
Upload contact lists for which you do not have documented consent or a lawful basis to communicate;
Use our services to engage in fraud, harassment, or any unlawful activity;
Resell, sublicense, or white-label our services without our prior written consent.

5. SMS and call communications

If you provide your phone number through our website, by speaking with our sales team, or by other lawful means, and you opt in to receive SMS messages, you consent to receive transactional and marketing SMS messages from Vera AI. Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP or text HELP for assistance. See our Privacy Policy for full details on how we handle SMS data.

6. Fees and payment

Customer service fees are set out in your order form or subscription agreement. Fees are billed in advance through our payment processor (Stripe) and are non-refundable except as expressly stated in your service agreement. We may change pricing on prospective subscriptions on 30 days' written notice.

7. Customer data and confidentiality

You retain all rights to data you submit to our services. You grant us a limited license to process that data solely to provide and improve our services. We treat customer data as confidential and protect it as described in our Privacy Policy.

8. Intellectual property

All content on the Site, our software, branding, and AI models are the intellectual property of VeraVentures LLC or our licensors, protected by U.S. and international copyright, trademark, and other laws. These Terms grant you no rights to our intellectual property except a limited, revocable, non-exclusive license to use the services as agreed.

9. Third-party services

Our services integrate with third-party providers including Stripe, Twilio, Cal.com, Resend, Supabase, and Vercel. Your use of those services through Vera AI is subject to those providers' own terms, which we do not control.

10. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERAVENTURES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERAVENTURES LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless VeraVentures LLC, its officers, employees, and agents from any claim, damage, or expense arising out of (a) your use of the services, (b) your breach of these Terms, or (c) your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access to the services if you breach these Terms, or if we are required to do so by law. You may terminate your account at any time by contacting Admin@verasolutions.io. Termination does not entitle you to a refund except as stated in your service agreement.

14. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws rules. Any dispute arising out of these Terms will be resolved in the state or federal courts located in Arizona, and you consent to exclusive jurisdiction in those courts.

15. Changes to these Terms

We may modify these Terms from time to time. The “Last updated” date above reflects the most recent change. Material changes will be communicated to active customers via email or in-product notice. Continued use of the services after changes take effect constitutes acceptance of the revised Terms.
